1. General Information

These Terms and Conditions of Use (hereinafter, the "Terms") govern access to and use of the Tiveko platform, accessible at www.tiveko.com and any associated applications (hereinafter, the "Platform").

The Platform is operated by MS Themes, Inc., a company incorporated under the laws of the United States of America (hereinafter, "MS Themes," "we," or "the Company"), with contact address at the email soporte@tiveko.com.

By registering, accessing, or using the Platform, the user (hereinafter, the "User," "you," or the "Organizer") declares having read, understood, and fully accepted these Terms, as well as the Privacy Policy available on the Platform. If you do not agree with any provision, you must refrain from using the Platform.


2. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Platform": The website www.tiveko.com, its subdomains, APIs, and any related software or service provided by MS Themes.
  • "Organizer": Any individual or legal entity that uses the Platform to create, publish, and sell tickets for events.
  • "Buyer": Any person who purchases one or more tickets through the Platform.
  • "Event": Any activity, gathering, show, conference, virtual meeting, or occurrence for which the Organizer sells tickets through the Platform, whether in-person, virtual (through Zoom integration), or hybrid.
  • "Ticket": The digital document issued by the Platform that certifies the Buyer's right to attend or access an Event, whether in-person or virtually.
  • "Widget": The embeddable component that allows Organizers to integrate ticket selling functionality into their own websites.
  • "Organization": The entity created by the Organizer within the Platform to manage events and team members.
  • "Plan": The subscription level contracted by the Organizer (Free, Plus, or Pro), which determines available features.
  • "Stripe Connect": The payment processing service provided by Stripe, Inc. that allows the Organizer to receive payments directly into their account.
  • "Virtual Event": An Event that takes place wholly or partially through the Zoom video conferencing platform, integrated with the Platform.

3. Description of Service

Tiveko is a technology platform that provides tools for creating, selling, and managing tickets for in-person, virtual, and hybrid events. The Platform offers the following main features:

  1. Event creation and configuration with multiple entry types, dates, and prices.
  2. Payment processing through the Stripe Connect integration, where each Organizer connects their own Stripe account.
  3. Digital ticket issuance with unique QR codes for access validation.
  4. Check-in system via QR code scanning from mobile devices.
  5. Team management with roles and permissions for collaborators.
  6. Real-time analytics on sales, attendance, and key metrics.
  7. HubSpot Marketing Events integration (available on the Pro Plan).
  8. Zoom integration for the creation and management of virtual and hybrid events.
  9. Analytics and marketing integrations: Google Analytics, Google Tag Manager, Meta Pixel, and AdRoll.
  10. Coupon and discount system.
  11. Lead capture (potential and completed buyers).
  12. Lead and sales data export.

Tiveko acts exclusively as a technology provider. The Platform is not the organizer, promoter, or producer of events published by Organizers. MS Themes assumes no responsibility for the execution, quality, safety, or legality of events, including Virtual Events held through the Zoom integration.


4. Registration and User Account

4.1 Registration Requirements

To use the Platform as an Organizer, you must:

  1. Be of legal age according to applicable legislation in your jurisdiction.
  2. Provide truthful, accurate, current, and complete information during the registration process.
  3. Have legal capacity to enter into binding contracts.
  4. Create and maintain a valid Stripe account for payment processing.

4.2 Account Security

The User is responsible for maintaining the confidentiality of their access credentials and for all activities carried out under their account. Authentication is managed by Clerk, a third-party identity service provider, subject to its own terms of service. The User commits to immediately notifying MS Themes of any unauthorized use of their account.

4.3 Accuracy of Information

MS Themes reserves the right to verify information provided by Users. Providing false, inaccurate, or misleading information may result in the immediate suspension or cancellation of the account, without prior notice.


5. Plans and Pricing

5.1 Available Plans

The Platform offers the following subscription plans:

Free Plan ($0 USD/month):

  • 1 active event
  • 2 team members
  • Ticket sales
  • QR check-in

Plus Plan ($20 USD/month):

  • Everything included in the Free Plan
  • 3 active events
  • 5 team members
  • Lead capture
  • Custom branding
  • Advanced analytics

Pro Plan ($49 USD/month):

  • Everything included in the Plus Plan
  • 10 active events
  • 15 team members
  • HubSpot Marketing Events connection
  • Zoom integration for virtual events

5.2 No-Commission Model

Tiveko does not charge commissions on ticket sales. The Organizer only pays the subscription fee for their Plan and the standard payment processing fees charged by Stripe. Stripe fees are determined and charged directly by Stripe, Inc. and are subject to their own terms.

5.3 Price Modifications

MS Themes reserves the right to modify Plan prices and features. Price changes will be communicated to Users with at least 30 days' advance notice and will take effect at the beginning of the next billing cycle.

5.4 Billing and Renewal

Subscriptions are billed monthly. Renewal is automatic unless the Organizer cancels their subscription before the start of the next billing period. No refunds will be granted for partial periods of use.


6. Payment Processing

6.1 Stripe Connect

The Platform uses Stripe Connect as its sole payment processor. Each Organizer must create and link their own Stripe account. Ticket sales funds are deposited directly into the Organizer's Stripe account, in accordance with the timelines and conditions established by Stripe.

6.2 Organizer Responsibility

The Organizer is solely responsible for:

  1. Complying with Stripe's terms of service.
  2. Maintaining their Stripe account active and in good standing.
  3. Tax obligations arising from ticket sales.
  4. The accuracy of information provided to Stripe for verification purposes.

6.3 Non-Intervention by MS Themes

MS Themes does not have access to, control over, or responsibility for funds processed through Stripe Connect. Payment disputes, chargebacks, and financial claims will be handled between the Organizer, the Buyer, and Stripe, according to Stripe's applicable terms.


7. Events and Tickets

7.1 Event Creation

The Organizer is responsible for the accuracy and truthfulness of all information published about their events, including description, dates, location (physical or virtual), prices, refund policies, and any applicable restrictions.

7.2 Virtual Events via Zoom

The Platform offers integration with Zoom Video Communications, Inc. for the creation and management of Virtual Events. By using this feature:

  1. The Organizer acknowledges and accepts that Virtual Events are subject to Zoom's terms of service and acceptable use policies, available at https://zoom.us/terms.
  2. MS Themes acts exclusively as a technical facilitator of the Zoom integration. MS Themes does not control, operate, or guarantee the availability, quality, or performance of Zoom's service.
  3. The Organizer is responsible for having a valid Zoom account with sufficient capacity (number of participants, meeting duration, features) for their Virtual Events.
  4. MS Themes shall not be liable for interruptions, technical failures, capacity limitations, or any issues arising from Zoom's service.
  5. The recording, distribution, or reproduction of Virtual Event content is the sole responsibility of the Organizer, who must comply with applicable privacy and intellectual property laws.
  6. The Organizer commits not to use the Zoom integration for illegal activities, distribution of prohibited content, or violations of Zoom's terms of service.

7.3 Digital Tickets

Tickets issued by the Platform contain dynamically generated unique QR codes for validation. The Buyer receives a link by email to access their digital ticket. In the case of Virtual Events, the ticket may include access information for the corresponding Zoom meeting.

7.4 Organizer Responsibility for the Event

The Organizer declares and warrants that:

  1. They have the legal capacity and necessary permits to organize the event.
  2. They will comply with all applicable laws and regulations.
  3. They are responsible for the refund and cancellation policies of their events.
  4. In the event of cancellation, the Organizer will be solely responsible for managing refunds to Buyers through Stripe.

8. Buyer Obligations

By purchasing a ticket through the Platform, the Buyer:

  1. Accepts the specific event terms established by the Organizer, including refund and cancellation policies.
  2. Acknowledges that MS Themes is not responsible for the execution, quality, or safety of the event, whether in-person or virtual.
  3. Commits not to transfer, resell, or duplicate purchased tickets, unless expressly authorized by the Organizer.
  4. Accepts that any dispute related to the event must be directed to the Organizer.
  5. In the case of Virtual Events, agrees to comply with the event's code of conduct and Zoom's terms of service.

9. Third-Party Integrations

9.1 Third-Party Services

The Platform allows integration with third-party services, including:

  • Stripe Connect: Payment processing.
  • HubSpot: Marketing Events and CRM (Pro Plan).
  • Zoom: Video conferencing for virtual and hybrid events.
  • Google Analytics: Web analytics.
  • Google Tag Manager: Tag management.
  • Meta Pixel: Conversion tracking and remarketing.
  • AdRoll: Advertising and retargeting.

9.2 Third-Party Terms

The use of third-party integrations is subject to the terms of service and privacy policies of each respective provider. MS Themes does not guarantee the availability, accuracy, or continuous operation of third-party services. The Organizer is responsible for maintaining valid and active accounts with the service providers they integrate.

9.3 Liability

MS Themes shall not be liable for damages, losses, or harm that may arise from the use, failure, interruption, or discontinuation of third-party services integrated with the Platform.


10. Intellectual Property

10.1 MS Themes Property

The Platform, including its design, source code, logos, trademarks, texts, graphics, and any other content created by MS Themes, is the exclusive property of MS Themes and is protected by applicable intellectual property laws.

10.2 Organizer Content

The Organizer retains all rights to the content they publish on the Platform (event descriptions, images, logos). By publishing content, the Organizer grants MS Themes a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute such content exclusively in connection with the operation of the Platform.

10.3 Restrictions

The User commits not to:

  1. Copy, modify, distribute, or create derivative works of the Platform.
  2. Reverse engineer, decompile, or disassemble any part of the Platform.
  3. Use the Platform to develop a competitive product or service.
  4. Remove or alter intellectual property notices on the Platform.

11. Acceptable Use

The User commits not to use the Platform to:

  1. Publish false, fraudulent, or misleading events.
  2. Sell tickets for illegal events or events that infringe on the rights of third parties.
  3. Engage in spam, phishing, or malware distribution activities.
  4. Collect data from other users without their consent.
  5. Interfere with the operation of the Platform or its security systems.
  6. Violate any applicable law, regulation, or standard.
  7. Use analytics and marketing integrations in a manner contrary to applicable data protection laws.
  8. Use the Zoom integration to transmit illegal, defamatory, obscene content, or content that violates the rights of third parties.

MS Themes reserves the right to suspend or cancel any account that violates these provisions, without prior notice and without any liability.


12. Privacy and Data Protection

The processing of personal data is governed by our Privacy Policy, available at www.tiveko.com/privacy. By using the Platform, the User accepts the processing of their data in accordance with said Policy.

The Organizer acknowledges that they act as an independent Data Controller for the personal data of attendees at their events, including data generated through the Zoom integration, and commits to complying with applicable data protection laws in their jurisdiction, including obtaining the necessary consents for the use of tracking technologies.


13. Limitation of Liability

13.1 Disclaimer of Warranties

The Platform is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

13.2 Limitation

To the maximum extent permitted by applicable law, MS Themes shall not be liable for:

  1. Indirect, incidental, special, consequential, or punitive damages.
  2. Loss of profits, revenue, data, business opportunities, or goodwill.
  3. Service interruptions, errors, or technical failures, including those related to the Zoom integration or other third-party services.
  4. Actions or omissions of Organizers, Buyers, or third parties.
  5. Issues arising from payment processing by Stripe.
  6. Failures, interruptions, or limitations in Virtual Events arising from Zoom's service.

13.3 Maximum Limit

MS Themes' total and cumulative liability under these Terms shall not exceed the greater of: (a) the amounts paid by the User to MS Themes during the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100 USD).


14. Indemnification

The User commits to indemnify, defend, and hold harmless MS Themes, its directors, employees, agents, and affiliates, from and against any claim, demand, damage, loss, liability, cost, and expense (including reasonable attorney's fees) arising from:

  1. The User's use of the Platform.
  2. Violation of these Terms.
  3. The organization, promotion, or execution of events, including Virtual Events.
  4. Infringement of third-party rights.
  5. Non-compliance with applicable laws or regulations.
  6. Misuse of third-party integrations, including Zoom, Stripe, HubSpot, and analytics and marketing integrations.

15. Suspension and Termination

15.1 Termination by the User

The User may cancel their account at any time. Cancellation shall not entitle the User to a refund of payments already made.

15.2 Suspension or Termination by MS Themes

MS Themes reserves the right to suspend or cancel any User's account, with or without prior notice, in the following cases:

  1. Violation of these Terms or the Privacy Policy.
  2. Fraudulent, illegal, or suspicious activity.
  3. Prolonged account inactivity.
  4. Request from competent authorities.
  5. Any conduct that MS Themes reasonably considers harmful to the Platform, other users, or third parties.
  6. Violation of the terms of service of Zoom, Stripe, or other integrated third-party services.

15.3 Effects of Termination

Upon termination, the User will lose access to their account and data stored on the Platform. MS Themes may retain data necessary to comply with legal obligations in accordance with the Privacy Policy.


16. Modifications to the Terms

MS Themes reserves the right to modify these Terms at any time. Modifications will be published on the Platform and, when material, registered Users will be notified by email at least 30 days in advance of their effective date.

Continued use of the Platform after the modifications take effect shall constitute acceptance of the updated Terms. If the User does not agree with the modifications, they must cease using the Platform and cancel their account.


17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without giving effect to its conflict of laws provisions.

17.2 Dispute Resolution

The parties agree that any dispute or claim arising from or related to these Terms or the use of the Platform shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English.

17.3 Class Action Waiver

The User waives their right to participate in class or representative actions. Any dispute must be resolved individually.


18. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between the User and MS Themes regarding the use of the Platform, and supersede any prior agreement, oral or written.

Severability: If any provision of these Terms is declared invalid or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.

Waiver: MS Themes' failure to exercise any right provided in these Terms shall not constitute a waiver of such right.

Assignment: The User may not assign or transfer their rights or obligations under these Terms without the prior written consent of MS Themes. MS Themes may freely assign these Terms without restriction.

Force Majeure: MS Themes shall not be liable for failure to perform its obligations when such failure is caused by events beyond its reasonable control, including natural disasters, government actions, pandemics, internet infrastructure failures, or actions of third parties.
